Terms of Service

These terms govern your use of OpenSpeaker and form an agreement between you and Vivoo Global CO., LTD.

1. Acceptance and eligibility

By creating an account, purchasing credits, calling an API or using an OpenSpeaker tool, you agree to these terms and the linked policies. If you act for an organization, you confirm that you are authorized to bind it.

You must be legally able to enter this agreement. If you do not agree, do not use the service.

2. The service

OpenSpeaker provides one workspace and credit balance for selected AI voice, audio, music and image workflows. Some tools route tasks to connected third-party models or APIs. Tool availability, models, processing speed and credit cost may change as providers and the early-stage product evolve.

AI output is probabilistic. Results can be inaccurate, incomplete, unexpected, similar to third-party material or unsuitable for your intended use. You are responsible for reviewing output before publishing or relying on it.

3. Accounts and security

Provide accurate account information, protect your credentials and promptly report suspected unauthorized access. You are responsible for activity performed through your account unless applicable law provides otherwise.

Do not sell, lease, share or automate access in a way that bypasses plan, rate, credit or security controls.

4. Service and promotional emails

We may send operational emails reasonably necessary to create, authenticate, secure, administer, support or document your account and use of OpenSpeaker. These may include email verification and sign-in notices, password resets, task and credit updates, payment receipts, security or fraud alerts, support replies, and notices of material changes to the service or these terms. These are service communications, not promotional emails.

Promotional emails—such as product news, offers, campaigns, surveys or recommendations—are optional. We send them only after you make a separate, clear and affirmative choice to receive them. Before you opt in, we state the types of content, delivery method, message format and expected frequency. Accepting these terms, creating an account or making a purchase does not by itself constitute consent to promotional email, and declining marketing does not limit access to the core service.

You may withdraw your marketing consent at any time through the unsubscribe method in each promotional email, an available account preference, or by contacting vivoo.global.network@gmail.com. We will confirm the request and immediately stop sending the promotional emails you have refused. Withdrawal applies to future promotional processing and does not affect processing lawfully completed before withdrawal.

Marketing preferences do not apply to operational emails. Where available, you may disable non-essential service notices in account settings. Essential operational emails may continue while your account or a transaction remains active, and after closure only where reasonably necessary for security, dispute handling or legal compliance.

Marketing consent is separate

Each promotional email identifies the sender, carries any label required by law and provides a clear, free way to unsubscribe. We keep records of opt-in and withdrawal as required by law.

5. Credits, prices and validity

Credits are prepaid digital service units, not money, stored value, cryptocurrency or a transferable asset. They may be used only for eligible OpenSpeaker services and have no cash value.

The checkout page shows the amount, currency, credit quantity, validity period and applicable promotion before purchase. Different models or operations may consume different credit amounts. Taxes or payment-processor charges may apply where displayed or legally required.

Credits expire according to the purchased validity option unless the selected plan is expressly marked “no expiry”. Promotional or bonus credits may have separate conditions.

6. Final purchases and refund policy

OpenSpeaker keeps prices unusually low during its early stage. In exchange, the service is primarily self-service and purchases of credits or digital services are final once credits have been delivered or processing has begun.

We do not provide cash refunds for change of mind, unused credits, failure to cancel before expiry, choosing the wrong model or voice, or subjective dissatisfaction with the style of a valid AI output.

This does not limit mandatory consumer rights. If there is an incorrect or duplicate charge, unauthorized payment, material failure to provide the service as described, or a refund is required by law, OpenSpeaker may re-perform the service, restore credits, extend validity, reduce the charge or refund the affected undelivered portion as appropriate.

No cash refund is not the same as failed-task credit restoration

Eligible failed tasks may automatically return consumed credits to the OpenSpeaker balance under system rules. That in-account credit restoration is not a reversal of the original payment.

7. Continuous-availability commitment

OpenSpeaker is committed to operating the service 24 hours a day, 7 days a week, proactively monitoring incidents and restoring availability within a reasonable time. We treat continuity as an operating priority.

Availability can nevertheless be affected by planned or emergency maintenance, security events, abuse, network or cloud infrastructure, connected model/API providers, legal orders, capacity limits or force majeure. Unless a separate written enterprise SLA applies, this commitment is not a guarantee of 100% uninterrupted or error-free service.

Our uptime commitment

We commit to keep OpenSpeaker continuously available as an operational objective, communicate material incidents where practical, and restore service as quickly as reasonably possible.

8. Acceptable use

You must comply with law, provider restrictions and the rights of others. You must not use OpenSpeaker to:

  • Clone, imitate or publish a person’s voice, likeness or identity without valid authority or consent.
  • Deceive, impersonate, defraud, harass, exploit vulnerable people or conceal materially misleading AI-generated media.
  • Create or distribute illegal, abusive, privacy-invasive or intellectual-property-infringing content.
  • Attack, scrape, reverse engineer, overload, bypass rate limits, resell unauthorized access or compromise the service or another user.
  • Upload malware, secrets, unlawfully obtained personal data or content you have no right to process.

9. Your content and AI output

You retain rights you lawfully hold in your input and output. You grant OpenSpeaker a limited license to host, copy, transmit, transform and process content as necessary to provide, secure and support the service and as separately permitted under the AI Data Use Policy.

You confirm that you have all permissions required for uploaded content, including voice, image, music, copyright, privacy and publicity rights. OpenSpeaker may request evidence of permission and may remove content or suspend access where a risk or violation is identified.

OpenSpeaker does not promise that output is unique, registrable, non-infringing or legally suitable. You are responsible for human review, disclosure or labeling required for AI-generated or synthetic content.

10. Suspension and termination

We may restrict or suspend access to protect users, providers or infrastructure; investigate fraud, abuse or legal violations; comply with law; or address unpaid amounts. Where reasonable, we will give notice and an opportunity to correct the issue.

You may stop using OpenSpeaker at any time. Closing an account does not create a right to a cash refund for delivered credits and does not cancel obligations or records that must survive.

11. Warranties and liability

To the maximum extent permitted by law, the service is provided on an “as available” basis and without warranties not expressly stated in these terms. Nothing excludes liability or remedies that cannot legally be excluded.

OpenSpeaker is not responsible for indirect or consequential loss, lost profit, lost opportunity or third-party provider failure to the extent permitted by law. Any liability cap applies only where lawful and does not limit liability for fraud, willful misconduct, personal injury caused by negligence or mandatory consumer rights.

12. Governing law, language and changes

These terms are governed by the laws of Vietnam, without removing any mandatory protection available in your place of residence. Parties should first attempt to resolve a dispute through the in-app support channel.

English and Vietnamese versions are provided. For a consumer in Vietnam, any ambiguity will be interpreted consistently with mandatory Vietnamese consumer law. We may update these terms prospectively; material changes will be announced before they take effect where required.
